"Rescission and termination in contracts"

🟣 Rescind means to cancel a

contract as if it never existed.

Rescission restores the parties to

their pre-contractual positions.

Rescission is often done when there

is fraud, misrepresentation, duress

or mistake and the contract is void

ab anitio.

On the other hand, termination

means to end a contract

prospectively, meaning it stops

further obligations but doesn't undo

past performance. Termination

often occurs when one party

breaches the contract or when the

contract allows for termination

under specific conditions.

nevertheless, in termination the

contract ends going forward and

past obligations and rights remain

enforceable.

🟣 اصل رعایت تشریفات صحیح قانونی


🟢 Due process of law is a legal

principle whereby all legal rights

given to a person must be

respected.

It guarantees fair treatment through

judicial system and ensures no one

is deprived of life, liberty or property

without due process of law.

🟣 رعایت تشریفات صحیح قانونی یک اصل

حقوقی است که به موجب آن تمام حقوق

قانونی اعطا شده به شخص باید مورد احترام

قرار بگیرد.

این اصل، رفتار عادلانه از سوی سیستم

قضایی را تضمین کرده و این اطمینان را

می دهد که هیچ شخصی از زندگی، آزادی و

مال خود بدون رعایت تشریفات صحیح

قانونی محروم نمیشود.

قاعده خرق حجاب شخصیت حقوقی


🟢 Piercing the corporate veil refers

to a special situation in which the

court holds the shareholdres or

directors of a company personally

responsible for the corporation's

debts. This rule disregards the

corporate entity and the creditors

can refer to the shareholders

directly، as in the case of paper

companies incorporated for illegal

actions.

🟣 قاعده خرق حجاب شخصیت حقوقی به

شرایطی اشاره دارد که در آن دادگاه

سهامداران و مدیران یک شرکت را شخصا

مسئول بدهی های شرکت در نظر میگیرد. این

قاعده، شخصیت حقوقی شرکت را نادیده

گرفته و طلبکاران می‌توانند مستقیما به

سهامداران شرکت رجوع نمایند مانند شرکت

های کاغذی که برای انجام کارهای غیرقانونی

تشکیل می‌شوند.

accept it or if the beneficiaries of

endowment are unlimited in number

or the endowment is made for the

benefit of the public, then the

acceptance of the judge is required.
